STANDARD TERMS AND CONDITIONS OF SALE
1. Quotation Validity
This quotation is valid for 7 days from the date of issue unless otherwise stated. Prices may change after the validity period due to changes in paper, ink, finishing materials, foreign exchange, supplier pricing, or other production costs.
2. Order Confirmation
An order is considered confirmed only when the Client provides written approval, purchase order, signed quotation, or advance payment. By confirming the order, the Client accepts these Terms & Conditions.
3. Advance Payment
No work shall begin until the required advance payment is received and cleared. Unless otherwise agreed in writing, a minimum advance payment of 50% is required before production starts.
4. Balance Payment Before Delivery
The remaining balance must be fully paid before final delivery, collection, or handover of the printed materials. PrintET reserves the right to hold completed work until full payment is received.
5. Artwork, Content, and Proof Approval
The Client is responsible for checking and approving all text, spelling, images, design, layout, quantities, sizes, colors, and specifications before production. Once the Client approves the final proof, PrintET shall not be responsible for errors found after printing.
6. Changes After Approval
Any change requested after approval or after production has started may result in additional cost and extra production time. Reprinting due to Client-approved errors shall be charged to the Client.
7. Color, Material, and Production Tolerance
Printed colors may vary from screen previews, digital proofs, previous print runs, or samples due to differences in monitors, paper, ink, machine settings, finishing processes, and production conditions. Minor variations in color, cutting, folding, binding, trimming, registration, and finishing are considered acceptable within standard printing tolerance.
8. Exact Color Matching
If exact color matching is required, the Client must request and approve a physical proof or special color-matching process before mass production. Additional charges and time may apply.
9. Material Availability
Production is subject to the availability of paper, ink, binding, finishing, and other required materials. If the quoted material is unavailable, PrintET may propose an alternative material of similar quality, subject to Client approval.
10. Production and Delivery Time
Production time starts only after the advance payment is received, final artwork is approved, all required materials are available, and all technical details are confirmed. Delivery dates are estimates unless expressly agreed in writing.
11. Client Delay
PrintET shall not be responsible for delays caused by late artwork submission, late approval, late payment, change requests, incomplete information, or delays from third-party suppliers.
12. Delivery and Collection
Delivery cost is not included unless clearly stated in the quotation. Risk of loss or damage passes to the Client once the goods are delivered, collected, or handed over to the Client’s representative.
13. Inspection and Claims
The Client must inspect the delivered goods immediately. Any complaint or claim must be submitted in writing within 48 hours of delivery or collection. Claims made after this period may not be accepted.
14. Reprint or Correction
If a confirmed production defect is caused by PrintET, PrintET may, at its discretion, correct, reprint, or compensate the affected portion of the work. PrintET’s liability shall not exceed the value of the defective portion of the order.
15. Cancellation
If the Client cancels an order after confirmation, the Client shall be responsible for all costs already incurred, including design, material purchase, plate making, setup, printing, finishing, labor, and administrative costs.
16. Ownership of Files and Designs
Unless otherwise agreed in writing, editable design files, source files, templates, working files, plates, and production files remain the property of PrintET. Final print-ready files or final printed products will be provided according to the agreed scope.
17. Use of Work for Portfolio
PrintET may use photos or samples of completed work for portfolio, marketing, or reference purposes unless the Client requests confidentiality in writing before production.
18. Force Majeure
PrintET shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including power interruption, machine breakdown, shortage of materials, transport disruption, government restrictions, civil unrest, natural disaster, or supplier delay.
19. Governing Law and Dispute Resolution
These Terms & Conditions shall be governed by the laws of Ethiopia. Any dispute shall first be resolved through good-faith discussion. If unresolved, the matter may be submitted to the appropriate court or legal authority in Addis Ababa, Ethiopia.
